Terms of service

These terms form the agreement between you and Skyhill Group Limited (“we”, “us”, “our”) for your use of Wordround. By using the service you accept them. If you do not accept them, do not use the service.
The service
Wordround provides a public page describing your work and a private place to record the people who may refer it. We do not find you clients, endorse or verify any user, or participate in any introduction made through or because of the service.
Your account
You must be 18 or over and acting for business purposes. You are responsible for your account and for everything done through it, and for keeping your sign-in credentials secure. We may suspend, restrict or close any account at any time.
Your content
You retain ownership of what you create. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce and display it for the purpose of operating and providing the service, including displaying your published page to anybody who has its address.
You warrant that you own or have the right to publish everything you submit, that it is accurate, and that publishing it infringes nobody’s rights. We do not review or verify user content and accept no responsibility for it.
Data about other people
Records you create about other people are yours. You are the controller of that data, you are responsible for having a lawful basis to hold it and for responding to any request about it, and we process it only as your processor on your instructions in order to provide the service.
Referral arrangements
Any referral fee, commission or other arrangement published on your page or recorded in your account is an agreement between you and the other person. We are not a party to it, receive no part of it, make no representation about it, and have no obligation in relation to it — including where it is disputed or unpaid.
Acceptable use
You must not:
- publish anything unlawful, defamatory, misleading, or infringing;
- impersonate any person or business, including in your page address;
- upload personal data you have no lawful basis to hold, or send unsolicited messages;
- interfere with, probe, overload or attempt to gain unauthorised access to the service;
- copy, scrape, or systematically extract pages or data, or reverse engineer the service.
Changes to the service
We may modify, suspend or discontinue the service, or any part of it, at any time. We may introduce charges for the service or any feature of it; where we do, they apply only from the date they are introduced.
No warranties
The service is provided “as is” and “as available”. To the fullest extent permitted by law we exclude all warranties, conditions and representations, whether express or implied, including as to availability, uninterrupted or error-free operation, fitness for a particular purpose, and the accuracy or retention of any data. We do not warrant that the service will result in any introduction, referral, client or income.
Liability
To the fullest extent permitted by law, we are not liable for any loss or damage arising out of or in connection with the service or your use of it, whether in contract, tort (including negligence), breach of statutory duty or otherwise. This includes lost profits, lost business, lost opportunity, lost goodwill, loss or corruption of data, and any loss arising from your dealings with any other person, whether or not that loss was foreseeable.
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
Indemnity
You will indemnify us against all claims, demands, proceedings, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with your content, your use of the service, your handling of personal data about other people, your referral arrangements, or your breach of these terms.
Termination
You may stop using the service and delete your account at any time. We may terminate this agreement or your access at any time. On termination your published page ceases to be available and your data may be deleted. The clauses that by their nature survive termination — including Your content, Liability, Indemnity and this clause — continue to apply.
General
These terms are the entire agreement between us in relation to the service. We may vary them at any time by publishing an updated version at this address; continuing to use the service after that constitutes acceptance. We may assign or transfer our rights and obligations; you may not. Failure to enforce a term is not a waiver of it. If any provision is held unenforceable, the remainder is unaffected. A person who is not a party to these terms has no rights under the Contracts (Rights of Third Parties) Act 1999. These terms and any dispute arising out of them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
